    A legal audit/due diligence is a comprehensive legal analysis of a company’s activities, of distinct areas of its
    business, or of specific documents or transactions, with a view to verifying their compliance with current legislation and established economic and legal practices. The aim of a legal audit is to assess the company’s existing situation, or to identify the potential risk of the company incurring losses as a result of:

    • non-performance of obligations by co-contractors,
    • tax adjustments;
    • application of penalties resulting from non-compliance with civil law obligations;
    • civil, administrative or fiscal liability of the company or its directors; or
    • the criminal liability of the company’s directors
  • Legal assistance in negotiating the sale or acquisition of shares in companies
  • Drafting of deeds of transfer of shares in companies
  • Completion of formalities with the relevant authorities, including registration of transactions with tax authorities, publication of change of partners, etc.
  We also assist our clients with the purchase and sale of businesses. These transactions must comply with a number of rules, failure to do so can have considerable financial consequences. In this respect, we perform a legal audit to assess the value of the business, carry out the formalities required for the validity of the transactions, and assist our clients in finding an optimal scheme for carrying out these operations.    In addition, we have experience in setting up associations under the French 1901 law, and in supporting them on a day-to-day basis. Our experience also includes other types of non-profit organizations in France, such as foundations and endowment funds.
